Choosing the Right Corporate Form

One of the most important decisions an entrepreneur faces is choosing the right corporate form. The limited liability company is the most popular form in Hungary. Not without reason: the members’ liability is limited to their capital contribution, and it can be operated with relative flexibility. In certain cases, however — for example, when bringing in investors — a closed joint-stock company may be the more suitable choice. The decision involves not only legal but also tax and business considerations, so it is worth discussing this step with a lawyer.

Why Is a Well-Drafted Articles of Association Important?

The articles of association are the company’s “constitution” — they govern the members’ rights and obligations, the decision-making process, the conditions for dividend payments, and the rules for members’ withdrawal or exclusion. Template agreements generally cover the basic elements but fail to address the specific circumstances of the company and the actual agreements between the members. If a dispute later arises between members — which unfortunately is not rare — a poorly drafted articles of association can become a serious source of conflict.

In Case of a Corporate Dispute

If a dispute arises during the operation of the company — whether it concerns a disagreement between members, a contractual conflict, or another business law dispute — I represent my client before the court. I also provide advice on alternative dispute resolution options, such as mediation, which can offer a faster and cheaper solution than lengthy litigation.

When Should You Get in Touch with a Corporate Lawyer?

The sooner, the better! Ideally, already at the time of formation, engage a corporate lawyer you want to work with for the long term. A good corporate lawyer is like a good spouse — ideally, the (legal) relationship lasts a lifetime.
Preliminary legal advice is especially important when forming a company, entering into contracts, changing ownership, or increasing capital — correcting flawed decisions after the fact is usually far more costly than securing the right legal foundation in advance.
